Refund and Cancellation Policy

Summary: You can cancel your Semly Pro subscription at any time. EU consumers have a 14-day right of withdrawal. Refunds are handled on a case-by-case basis. This policy explains your cancellation and refund rights in detail.
1. Cancellation Rights
1.1 How to Cancel
You can cancel your subscription at any time through:
- Account settings: Dashboard → Settings → Billing → Cancel Subscription
- EU Cancellation Button: Dashboard → Settings → Billing → Cancel Subscription button (compliant with EU Directive 2023/2673)
- Email: Send cancellation request to billing@semlypro.com
- Stripe Portal: Manage subscription through Stripe Customer Portal (link in billing emails)
1.2 When Cancellation Takes Effect
Standard cancellation: Your subscription will be canceled at the end of your current billing period. You retain full access until that date. No pro-rata refund is issued for the remaining days.
EU 14-day withdrawal: If you cancel within 14 days of purchase (see Section 2 below), your subscription ends immediately and you receive a full refund, minus any Services already performed.
1.3 Access After Cancellation
After cancellation:
- Until end of billing period: Full access to all features
- After billing period ends: Read-only access for 30 days (export your data)
- After 30 days: Account moves to free tier or is suspended
- After 90 days: Data deletion begins (see Privacy Policy Section 7)
1.4 Automatic Renewal
Subscriptions automatically renew unless you cancel before the renewal date. We send renewal reminders 7 days before renewal. By subscribing, you authorize us to charge your payment method for each renewal period.
2. EU Right of Withdrawal (14-Day Cooling-Off Period)
2.1 Who This Applies To
If you are a consumer (not a business) located in the European Union, United Kingdom, or European Economic Area, you have a statutory 14-day right of withdrawal under the Consumer Rights Directive 2011/83/EU (as amended by Directive 2023/2673).
2.2 Withdrawal Period
You have 14 calendar days from the date of purchase to withdraw from your subscription without giving any reason and receive a full refund.
2.3 How to Exercise Withdrawal
To withdraw, you must inform us of your decision by:
- Using the cancellation button in your account settings
- Emailing billing@semlypro.com with a clear statement (e.g., "I withdraw from this subscription")
- Completing our withdrawal form (optional): EU Withdrawal Form
You do not need to provide a reason for withdrawal. We will confirm receipt of your withdrawal within 24 hours.
2.4 Waiver of Withdrawal Right (Performance Begun)
Important exception: Under Article 16(m) of the Consumer Rights Directive, the right of withdrawal does not apply to digital services where:
- Performance has begun with your express consent, AND
- You acknowledged that you lose your right of withdrawal once performance begins
When you subscribe to Semly Pro, you are presented with a checkbox stating:
"I expressly request that Semly Pro begin providing Services immediately upon subscription. I acknowledge that by using the Services (generating content, running audits, crawling websites), I waive my 14-day right of withdrawal for Services already performed."
What this means:
- If you use the Services (generate content, run audits, crawl pages), you waive your withdrawal right for those Services already performed
- If you do NOT use the Services within 14 days, you retain your full right to withdraw and receive a 100% refund
- If you use the Services partially, you can still withdraw, but we may deduct the value of Services already performed (calculated pro-rata)
2.5 Refund for Withdrawal
If you validly withdraw within 14 days, we will refund:
- 100% refund: If you did not use any Services
- Partial refund: Full amount minus pro-rata value of Services performed (if you used some features)
Refunds are processed within 14 days of receiving your withdrawal notice, using the same payment method you used for purchase.
3. Refunds Outside the 14-Day Period
3.1 No Standard Refunds
After the 14-day EU withdrawal period, we do not offer standard refunds for:
- Mid-cycle cancellations (you keep access until end of billing period)
- Unused subscription time (e.g., canceling after using 10 days of a monthly plan)
- Change of mind
- Features you didn't use
3.2 Exceptional Refunds (At Our Discretion)
We may issue refunds outside the 14-day period in exceptional circumstances:
- Service failures: If our Services were unavailable or non-functional for extended periods
- Billing errors: Duplicate charges, incorrect amounts, unauthorized charges
- Misleading information: If we materially misrepresented the Services
- Legal requirements: Where refunds are required by law
To request an exceptional refund, email billing@semlypro.com with:
- Your account email
- Order/invoice number
- Reason for refund request
- Supporting evidence (screenshots, error logs, etc.)
We will respond within 5 business days. Approved refunds are processed within 14 days.
3.3 Annual Subscriptions
Annual subscriptions are non-refundable after the 14-day EU withdrawal period, except:
- For the exceptional circumstances listed in Section 3.2 above
- Where required by mandatory consumer protection laws in your jurisdiction
If you cancel an annual subscription mid-year, you retain access until the end of the annual period but will not receive a pro-rata refund.
4. Failed Payments and Suspension
4.1 Dunning Process
If a subscription payment fails, we will:
- Day 1: First retry + email notification
- Day 3: Second retry + email reminder
- Day 7: Third retry + final warning
- Day 14: Fourth retry + suspension notice
If all retries fail, your account will be suspended after 14 days. You remain liable for the unpaid amount.
4.2 Reactivation After Suspension
To reactivate a suspended account:
- Update your payment method in account settings
- Pay any outstanding invoices
- Contact billing@semlypro.com to request reactivation
Accounts suspended for more than 90 days may be permanently deleted per our data retention policy.
5. Downgrades and Upgrades
5.1 Downgrading Plans
You can downgrade to a lower-tier plan at any time. The downgrade takes effect at the end of your current billing period. No refund is issued for the price difference.
5.2 Upgrading Plans
When you upgrade to a higher-tier plan:
- Effective immediately: You gain access to upgraded features right away
- Proration: We charge the pro-rated price difference for the remaining billing period
- Next renewal: Full price of the new plan applies
6. Chargebacks and Disputes
6.1 Contact Us First
Before filing a chargeback, please contact us at billing@semlypro.com. Most billing issues can be resolved quickly without involving your bank.
6.2 Chargeback Consequences
If you file a chargeback:
- Your account will be immediately suspended
- We will provide evidence to your bank (purchase records, usage logs, Terms of Service acceptance)
- If the chargeback is found to be fraudulent or unjustified, your account may be permanently terminated
- You may be liable for chargeback fees and legal costs
6.3 Legitimate Disputes
If you have a legitimate billing dispute (unauthorized charge, double billing, service not delivered), we will:
- Investigate within 5 business days
- Issue refunds for confirmed errors within 14 days
- Restore account access if suspension was in error
7. Price Changes
7.1 Notice of Price Increases
We may increase subscription prices from time to time. We will provide 30 days advance notice of any price increase by email.
7.2 Grandfathering
Price increases apply to renewals after the notice period. Your current billing period is not affected.
7.3 Opt-Out Right
If you do not accept a price increase, you may cancel your subscription without penalty before the new price takes effect. You will retain access until the end of your current billing period at the old price.
8. Termination by Semly Pro
8.1 For Cause (Breach of Terms)
We may terminate your subscription immediately without refund if you:
- Violate our Terms of Service or Acceptable Use Policy
- Engage in fraudulent activity
- Abuse the Services or harm other users
- Fail to pay amounts due after the dunning period
For material breaches, we will provide 7 days notice and opportunity to cure before termination.
8.2 Refunds Upon Our Termination
- Termination for cause: No refund
- Termination without cause: Pro-rata refund for unused time (rare; we commit to 30 days notice for no-cause terminations)
